Welcome to Data Intelligence (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, dashboards, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

 
1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By registering or using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

Account Creation: To access certain features, you must create an account and provide accurate, up-to-date information.
Credentials: You are responsible for safeguarding your username, password, and any API keys. You agree not to share credentials or allow unauthorized access.
Account Security: Notify us immediately of any unauthorized use of your account or any other security breach.

3. Service Description

Data Intelligence provides a cloud-based dashboard platform that enables you to upload, visualize, and analyze your data (e.g., export metrics, charts, reports). Features include:

Interactive charts and tables
Custom reporting and filters
Role-based user access controls
Real-time data updates (for applicable plans)

4. Subscription Plans & Fees

Plans: We offer tiered subscription plans (e.g., Starter, Professional, Enterprise) with varying feature sets and usage limits.
Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis, as selected at signup.
Payment Methods: Accepted methods include credit card and invoicing via Stripe. You authorize us to automatically charge your chosen payment method.
Price Changes: We may adjust pricing or introduce new plans; existing subscribers will be notified at least 30 days prior to any change affecting them.

5. Free Trials

If you receive a free trial, it is limited to one per organization. We reserve the right to modify or terminate trial offers at any time without notice.

6. Renewal & Cancellation

Automatic Renewal: Subscriptions automatically renew unless canceled before the renewal date.
Cancellation: You may cancel at any time via your account dashboard. Cancellation takes effect at the end of your current billing cycle—no partial refunds for unused time.
Reactivation: You may reactivate a canceled subscription by logging in and choosing a plan; we cannot guarantee preservation of data after extended inactivity.

7. User Conduct & Obligations

You agree not to:

Use the Service for unlawful or harmful purposes.
Reverse engineer, decompile, or attempt to extract source code.
Interfere with the security or integrity of the Service.
Upload malicious code (viruses, worms, trojans).
Circumvent any usage limits or licensing restrictions.

8. Intellectual Property

Our Rights: All content, code, trademarks, and proprietary materials in the Service remain our exclusive property.
Your Rights: You retain ownership of the data you upload. We claim no rights to your raw data, but you grant us a limited license to process and store it for providing the Service.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public information disclosed in connection with these Terms (“Confidential Information”). Confidential Information does not include information that is or becomes publicly available without breach of these Terms.

10. Disclaimers & Warranties

“AS IS” Basis: The Service is provided “as is” and “as available.”
No Warranty: We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Third-Party Services: We are not responsible for third-party services you integrate or links you follow.

11. Limitation of Liability

To the fullest extent permitted by law, in no event will we be liable for:

Indirect, incidental, special, or consequential damages.
Loss of profits, revenue, data, or business.
Any claim arising from your use of or inability to use the Service.
Our total aggregate liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your misuse of the Service
Your violation of these Terms
Your infringement of any third-party rights

13. Termination

By You: You may terminate your account at any time via your dashboard.
By Us: We may suspend or terminate your access for violation of these Terms or if required by law.
Effect of Termination: Termination does not relieve you of payment obligations, and we may delete your data in accordance with our Data Retention policy.

14. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of England & Wales (or another jurisdiction you specify).
Dispute Resolution: Any disputes shall be resolved in the courts of the same jurisdiction, and you consent to their exclusive venue and jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will reflect changes. For material revisions, we will notify you by email or in-Service notice at least 30 days before they take effect.
